Buy-Side Advisory

Finding, diligencing and financing acquisitions.

An acquisition is a large, irreversible decision made with incomplete information. Wesvel supports acquirers from thesis to close: defining what to buy and why, finding and approaching targets, coordinating diligence, structuring the transaction and arranging its financing, with the same discipline the firm applies to its own investments.

Valuation and diligence

A view of value from the acquirer’s perspective, including synergies and integration cost, sets the walk-away price before negotiations begin. Diligence is coordinated across financial, legal, tax, technical and, for digital asset businesses, on-chain and custody workstreams, with Wesvel’s own protocol and counterparty diligence methods applied where relevant.

Structure and financing

Cash, stock, earn-outs, rollover and deferred consideration are structured to align incentives and bridge valuation gaps. Financing is arranged from the acquirer’s balance sheet, third-party lenders or, where it fits and is disclosed, Wesvel’s lending business.

Digital asset targets

Acquiring a protocol, an exchange, a wallet or a token treasury raises questions a conventional deal does not: key control and custody transfer, token holder rights, smart-contract liabilities, regulatory status. Wesvel’s operating experience in these markets is applied directly to that diligence.

Practice

How Wesvel approaches it

  • 01The walk-away valuation is set and documented before negotiation.
  • 02Diligence is coordinated across all workstreams with a single issues list shared with the client.
  • 03Financing options are presented side by side, with any Wesvel participation disclosed and on arm’s-length terms.
  • 04Digital asset targets receive the firm’s protocol, custody and counterparty diligence in addition to conventional workstreams.
