Sell-Side Advisory
Preparing a business for sale and running the process.
Selling a business is a process with a beginning, a middle and an end, and outcomes are decided mostly in the beginning. Wesvel advises founders and boards on positioning the company, establishing a defensible view of value, identifying strategic and financial buyers, and running a competitive process through to signing and close.
Positioning and valuation
What the business is worth depends on who is buying and why. We build the equity story around the buyer universe, establish a valuation range from comparable transactions and the buyers’ own economics, and prepare the materials and data room so that diligence confirms the story rather than eroding it.
Buyer universe
Strategic acquirers for whom the business fills a gap, financial sponsors with a thesis it fits, and, in digital asset and fintech businesses, the protocols, exchanges and infrastructure firms the network knows well. A shortlist is agreed with the client before any contact.
Process
Staged disclosure under non-disclosure agreements, indicative offers, management presentations, confirmatory diligence and final bids, run to a timetable that keeps competitive tension. Negotiation covers price, structure, earn-outs, rollover, escrow and the terms that determine what a headline number is worth.
Close and transition
Coordination with counsel, accountants and the buyer through the purchase agreement, regulatory approvals where required, and completion mechanics. Where founders remain, the transition plan is part of the deal.
Practice
How Wesvel approaches it
- 01Valuation views are grounded in comparable transactions and buyer economics and documented before the process begins.
- 02The buyer list is agreed with the client; no party is contacted without consent.
- 03Competitive tension is maintained through staged disclosure and a firm timetable.
- 04Conflicts, including any relationship between Wesvel and a prospective buyer, are disclosed before that buyer is approached.
